1. About these terms

These Business Terms explain the basis on which Techrail Retail Services Limited (“Techrail”, “we”, “us” or “our”) provides metal fabrication, finishing and related services. They apply alongside the quotation, order confirmation, drawings or other written agreement issued for your project. If there is a conflict, the signed written agreement or written project-specific terms will take priority.

2. Quotations and orders

Our quotations are based on the information available to us at the time and are valid for the period stated in the quotation. A quotation is not an acceptance of an order. An order becomes binding when we confirm it in writing or begin work on it.

We may need to revise a quotation if the scope, materials, quantities, drawings, finish or delivery requirements change, or if information supplied to us is incomplete or inaccurate.

3. Your information and approvals

You are responsible for providing accurate drawings, CAD files, dimensions, specifications, material requirements, finish requirements and delivery details, and for checking and approving any drawings or details we send to you. We may rely on the information and approvals you provide. Any change requested after approval may affect the price and lead time.

4. Manufacture and finishing

We will carry out the agreed work with reasonable care and skill and in accordance with the approved specification. Fabricated parts may be subject to reasonable manufacturing tolerances and minor variations in finish. Powder coating colour and texture can vary slightly between batches and materials. We will tell you about any material issue that is likely to affect the agreed specification.

5. Lead times, delivery and collection

Any lead time we provide is an estimate unless we expressly agree a fixed date in writing. We are not responsible for delay caused by events outside our reasonable control, late approvals, changes to the work, unavailable materials or delays caused by a carrier or other supplier. Unless agreed otherwise, you are responsible for providing suitable delivery access and checking the goods promptly on delivery or collection.

6. Prices and payment

Prices, deposits, staged payments and payment dates will be set out in the relevant quotation or invoice. You must pay invoices in accordance with those terms. If the scope changes or additional work is requested, we may charge for the additional materials, labour, finishing, storage or delivery involved after confirming the change with you.

7. Changes and cancellation

Please tell us as soon as possible if you need to change or cancel an order. We will do our best to accommodate changes, but you may be responsible for reasonable costs already incurred, including materials purchased, work completed, subcontracted work and production time reserved for the project.

8. Inspection and defects

You should inspect the goods within a reasonable time after delivery or collection and tell us promptly about any suspected defect or departure from the agreed specification. Please give us a reasonable opportunity to inspect and, where appropriate, repair, replace or reperform the affected work. This does not affect any rights you have under applicable law.

9. Intellectual property and confidentiality

You retain ownership of drawings, designs, specifications and other materials you provide to us, and you confirm that we may use them to carry out the work. Our pre-existing know-how, methods, templates and manufacturing processes remain ours. Each party will keep the other party’s confidential information confidential, except where disclosure is required by law or is necessary to carry out the agreed work.

10. Product photography and social media

Unless you tell us otherwise in writing by email, Techrail may take photographs or videos of products or projects it creates and use that content on its social media channels. If you do not want us to photograph, film or share your products or project, please notify us by email before work begins. We will take reasonable care not to disclose confidential information or identifying details that you have asked us to keep confidential.

11. Liability

Nothing in these terms limits or excludes liability that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, we will not be responsible for indirect or consequential loss, loss of profit, loss of business or loss of opportunity arising from the work. Any agreed liability limits will be set out in the relevant written agreement or quotation.

12. Events outside our control

We will not be in breach of these terms or responsible for delay or failure caused by events outside our reasonable control, including severe weather, fire, flood, power failure, industrial action, supply shortages, transport disruption, government action or other unforeseeable events. We will keep you informed and resume performance when reasonably possible.

13. Governing law

These terms and any dispute or claim arising from them are governed by the law of England and Wales. The courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
